Terms of Service

By visiting our website or hiring Black Apex Studio, you agree to these Terms of Service. If you do not agree, please do not use our website or services. These terms form the agreement between you (the “Client”) and Black Apex Studio.

Black Apex Studio is a Louisiana sole proprietorship owned and operated by Isaiah Fitte, based in Port Sulphur, Louisiana. Our mailing address and place of business is 27029 Hwy 23, Port Sulphur, Louisiana 70083. These Terms are governed by the laws of the State of Louisiana.

We design and build custom websites and web applications for small and medium businesses. Our service tiers (Basic, Standard, and Pro) are described on our website. The exact scope, deliverables, timeline, and price for your project will be agreed in writing before work begins, typically through a signed agreement or email confirmation.

Every project runs on an agreed scope and timeline. Any changes to the scope after work begins may change the price or delivery date, and will be discussed and agreed with you before being carried out. Delivery timelines are estimates made in good faith and depend on your timely feedback and providing the content and approvals we need.

You agree to pay the fees agreed for your project. Payment schedules (such as deposits and milestones) will be stated in your signed agreement. Unless otherwise agreed, a deposit is required to begin work. Outstanding invoices are due by the date shown on the invoice. Late payments may pause work on your project until the balance is settled.

To complete your project on time, you agree to:

• Provide accurate information about your business and goals.
• Deliver content, images, logos, and access details when requested.
• Review work and provide feedback in a reasonable timeframe.
• Make payments according to the agreed schedule.

Upon full payment, you own the final website we build for you, except for third-party tools, fonts, or plugins that come with their own licenses. We may use your completed project in our portfolio and marketing unless you ask us in writing not to. We retain the right to use any custom code, methods, or techniques developed during your project for future work.

Each project includes a set number of revision rounds, stated in your agreement. Additional revisions beyond the agreed rounds may be billed at our hourly rate. Your approval of work confirms that the delivered stage meets the agreed scope.

We provide our services with reasonable skill and care. We do not guarantee specific business results, such as a certain number of leads or sales, as these depend on factors outside our control. Our services are provided “as is” except for the workmanship warranty described in your agreement.

To the fullest extent permitted by Louisiana law, Black Apex Studio and Isaiah Fitte are not liable for indirect, incidental, or consequential damages arising from our services. Our total liability for any claim is limited to the amount you paid us for the project giving rise to the claim.

You agree to provide only content and materials you have the right to use, and you are responsible for the accuracy and legality of the content you give us. You agree to indemnifyBlack Apex Studio against claims arising from content you provided.

Either party may end the working relationship for good cause with written notice. Upon termination, you pay for all work completed up to the termination date. See our Refund Policy for details on refunds and cancellations.

These Terms are governed by and construed under the laws of the State of Louisiana, without regard to its conflict-of-law principles. Any disputes will be handled in the courts located in Louisiana, unless we both agree to another process in writing.

If a dispute arises, we agree to first try to resolve it through good-faith discussion. If we cannot resolve it, the dispute will be handled under Louisiana law in the appropriate Louisiana court.

We may update these Terms from time to time. The “Last updated” date at the top shows when they were last changed. Continued use of our website or services after changes means you accept the updated Terms.
